Description of the action

The objective of the project Board-level Participation is to discuss and develop the participation of employees in the management of the workplace through the possibility of selecting the representatives to the board and the supervisory board by the crew in the period of 20 months in 5 EU countries: Poland, Slovakia, Slovenia, Malta, Spain and in one candidate country Serbia. The initiative is trade unions response for the universal problem of social partners in EU which is lack of employee representation on the high level in undertakings. In order to achieve best possible results, both side- employers' and workers' representatives are participating in the project.

Employee representatives have a right to seats on the supervisory board of larger companies. The employee representatives have the same rights and duties as other supervisory board members. Employee supervisory board members must not be discriminated against as a result of their membership of the board, and they must not be restricted in their work as supervisory board members.

 

Board-level participation – measures the strength of legal rights in each country for employee representation in the company's highest decision-making body. This classification was developed by the SEEurope network of ETUI and classifies countries in three groups: ‘widespread participation rights’, ‘limited participation rights’ and ‘no (or very limited) participation rights’.

 

We will compare the systems operating in each of these groups in 5 EU countries: Poland, Slovakia, Slovenia, Malta, Spain and in one candidate country Serbia. Slovak legislation provides for the representation of employees at supervisory board level in both state-owned and private companies. In the private sector, the right for employees to be represented on the board depends on the size of the company and its legal status.

 

There is employee representation at board level in larger Slovenian companies. Employee representatives have between a third and a half of the seats on the supervisory board of Slovenian companies with a two-tier structure. In companies with a single board they have at least a third.

 

Polish legislation provides for employee representatives at supervisory board level in state owned and privatised enterprises, as well as even greater powers in some state-owned enterprises. However, there is no right to employee representatives on the boards of private companies.

 

Employee representatives in companies at board level have now largely disappeared in Malta, and are now only found in companies belonging to the union or the Malta Labour Party. There are no general statutory arrangements for board level representation in Malta. Although there were previously employee directors on the boards of some state-owned or recently privatised companies, these have now all gone.

 

In Spain There is no overall right to employee board-level representation. However, there are a small number of employees on the boards of some public companies. Through the implementation of the project will be created an international network for exchange experience and best practices related with the workers board-level representation and participation in decision-making processes.

 

In general, project implementation will promote improvement of knowledge of workers organizations on issues they deal with on everyday basis and knowledge of workers on their rights and possibilities for involvement thus ensuring the practical usefulness of the project also after its implementation.

 

Project objectives are relevant with the main idea and objective of the Call for proposal VP/2018/006, thus promoting employee involvement in undertakings by information, consultation and participation mechanisms, through which employees' representatives may exercise an influence on decisions to be taken within the company.
